2. Cookies

We employ the use of cookies. By accessing Ineed, you agree to cookies usage in agreement with Ineed Privacy Policy. Most interactive phone applications use cookies to let us retrieve the user's details for each visit. Cookies are used by our App to enable various search areas and improve our user experience. Some of our affiliate/advertising partners may also use cookies.

3. License

Unless otherwise stated, Ineed and/or its licensors own the intellectual property rights for all materials on Ineed. All intellectual property rights are reserved. You may access the Ineed App for your own personal use subjected to restrictions set in these terms and conditions. You must not:

• Republish material from Ineed
• Sell, rent or sub-license material from Ineed
• Reproduce, duplicate or copy materials from Ineed
• Redistribute content from Ineed

This Agreement shall begin on the date hereof. Parts of this App offer an opportunity for users to post and exchange opinions and information in certain areas. Ineed does not filter, edit, publish or review the Services prior to their presence on the App. Services do not reflect the views and opinions of Ineed, its agents and/or affiliates. To the extent permitted by applicable laws, Ineed shall not be accountable for the Services or for any liability, damages or expenses caused and/or suffered as a result of the service exchanges on the App. Ineed reserves the right to monitor all Services posted by the service providers and to remove/block service providers that are considered offensive or cause a breach of these Terms and Conditions.

You warrant and represent that:

• You are entitled to post the Service on our App and have all the necessary means to ensure a smooth delivery;
• The Services do not invade any intellectual property right, including without limitation copyright, patent or trademark of any third party;
• The Services do not contain any defamatory, offensive, indecent or otherwise unlawful material which is an invasion of privacy;
• The Services will not be used to solicit or promote unlawful activities.

No use of Ineed logo or other artwork will be allowed for linking a trademark license agreement unless is expressly allowed in written by the Ineed owners.

4. Ineed Visual Representation

Without prior approval and written permission, you may not create frames/visuals on personal websites/pages of any of our designs and functionalities that alter in any way the visual presentation or appearance of Ineed.

5. Content Liability

We shall not be hold responsible for any content that appears on your App. You agree to protect and defend us against all claims that is rising on your App. No link(s) should appear on any Website that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

6. Reservation of Rights

We reserve the right to request that you change the Service you are looking to promote on our App if it is considered to be unlawful, obscene, criminal or in contradiction to our company values. You approve to immediately remove the service upon request as soon as possible. We also reserve the right to change these terms and conditions and it's linking policy at any time, as long as Ineed users are notified. By having an active account on our App, you agree to be bound to and follow Ineed Terms and Conditions.

7. Reports

If you find any Service/Account on our App that is offensive for any reason, you are free to contact and inform us at any moment. We will consider your notification to remove particular Services/Accounts, but we are not obligated to do so. Service Removals/Account Blocks will be done in line with Ineed values and ideologies. We do not ensure that the information on the App is correct, we do not warrant its completeness or accuracy as this is solely the responsibility of our Service providers to ensure the information added to their account is up to date and correct.

8. Disclaimer

Ineed is and should be considered as the platform used for Services exchanges between providers and Service 'needers'. Ineed should not be held responsible for any discrepancies regarding what was promised by the service providers. Any discrepancies should be reported and Ineed will take the necessary actions to limit any unwanted or misfortunate situations.

9. Limitation of Liability and Platform Intermediary Status

Ineed LLC ("ineed," "we," "us," or "our") operates an online marketplace technology platform that connects independent service providers with service requesters seeking on-demand services. ineed is a technology-enabled marketplace facilitator, not a service provider itself. Under Section 230 of the Communications Decency Act and applicable federal and state laws, ineed is protected as a platform provider and is not liable for the actions, conduct, or content of its users.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INEED LLC SHALL NOT BE LIABLE, RESPONSIBLE, OR OBLIGATED TO PAY ANY DAMAGES, COMPENSATION, OR FINANCIAL REMEDIES, INCLUDING BUT NOT LIMITED TO MONETARY LOSSES, FOR ANY INCIDENTS, ACCIDENTS, HARM, INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER CLAIMS ARISING FROM OR RELATED TO:

• Interactions between users, whether occurring during service delivery, transportation to service locations, or any other interaction facilitated through the platform;
• The conduct, actions, negligence, or criminal behavior of any user, service provider, or service requester;
• Any physical harm, injury, death, or property damage occurring during or related to service delivery or user interactions;
• Disputes, disagreements, or conflicts between users;
• Quality, safety, or performance of services provided by service providers.

ineed does not employ, supervise, control, or direct service providers in the performance of their services. Service providers are independent contractors, not employees or agents of ineed. Users acknowledge that they interact with other users at their own risk and are solely responsible for their safety and the safety of their property.

YOU EXPRESSLY WAIVE AND RELEASE INEED LLC, ITS FOUNDERS, INVESTORS, STOCKHOLDERS, STAKEHOLDERS, OFFICERS, DIRECTORS, BOARD MEMBERS, EMPLOYEES, AGENTS, SHAREHOLDERS, MEMBERS, MANAGERS, CONTRACTORS, ADVISORS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO PHYSICAL HARM, INJURY, DEATH, PROPERTY DAMAGE, EMOTIONAL DISTRESS, OR ANY OTHER CLAIMS RELATED TO INTERACTIONS WITH OTHER USERS. NO INDIVIDUAL OR ENTITY ASSOCIATED WITH INEED LLC, INCLUDING BUT NOT LIMITED TO FOUNDERS, INVESTORS, STOCKHOLDERS, STAKEHOLDERS, BOARD MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, OR ANY OTHER PERSON OR ENTITY WITH ANY OWNERSHIP INTEREST, INVESTMENT, OR RELATIONSHIP WITH INEED LLC, SHALL BE HELD PERSONALLY OR INDIVIDUALLY LIABLE FOR ANY CLAIMS ARISING FROM THE OPERATION OR USE OF THE PLATFORM.

YOU ASSUME FULL AND COMPLETE RESPONSIBILITY AND RISK FOR YOUR USE OF THE INEED PLATFORM AND INTERACTIONS WITH OTHER USERS. INEED PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

UNDER NO CIRCUMSTANCES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), SHALL INEED LLC OR ANY OF ITS FOUNDERS, INVESTORS, STOCKHOLDERS, STAKEHOLDERS, BOARD MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, MEMBERS, MANAGERS, ADVISORS, AGENTS, OR ANY OTHER PERSON OR ENTITY WITH ANY OWNERSHIP INTEREST, INVESTMENT, OR RELATIONSHIP WITH INEED LLC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE. NEITHER INEED LLC NOR ANY INDIVIDUAL OR ENTITY ASSOCIATED WITH INEED LLC, INCLUDING FOUNDERS, INVESTORS, STOCKHOLDERS, STAKEHOLDERS, OR ANY OTHER PERSON OR ENTITY, SHALL BE REQUIRED TO PAY, COMPENSATE, OR PROVIDE ANY FINANCIAL REMEDY TO YOU, YOUR ESTATE, YOUR HEIRS, OR ANY THIRD PARTY FOR ANY REASON WHATSOEVER, INCLUDING BUT NOT LIMITED TO INCIDENTS OCCURRING DURING OR RELATED TO SERVICE DELIVERY OR USER INTERACTIONS. THIS COMPLETE RELEASE AND WAIVER OF ALL LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW.

10. User Safety and Location Tracking

For user safety, security, financial compliance, and the prevention of fraudulent activities, ineed collects and maintains location data during service check-in procedures. This location data is used to:

• Verify service delivery at the correct location as specified in booking agreements;
• Ensure financial compliance and prevent circumvention of payment terms through premature cancellations or fraudulent activities;
• Maintain accurate records for service verification and dispute resolution;
• Assist law enforcement and legal authorities in the event of incidents, investigations, or legal proceedings, should such cooperation be requested through proper legal channels.

By using the ineed platform, you consent to the collection and storage of location data for these safety and compliance purposes. ineed is committed to user safety and will cooperate with appropriate authorities when necessary, while maintaining user privacy in accordance with our Privacy Policy.

11. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS INEED LLC, ITS FOUNDERS, INVESTORS, STOCKHOLDERS, STAKEHOLDERS, BOARD MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, MEMBERS, MANAGERS, ADVISORS, AGENTS, CONTRACTORS, AND AFFILIATES, AND ANY OTHER PERSON OR ENTITY WITH ANY OWNERSHIP INTEREST, INVESTMENT, OR RELATIONSHIP WITH INEED LLC FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS OR DEBT, AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES) ARISING FROM:

• Your use of and access to the ineed platform;
• Your violation of any term of these Terms of Service;
• Your violation of any third party right, including without limitation any right of privacy, intellectual property rights, or other proprietary right;
• Your interactions with other users, service providers, or service requesters;
• Any claims brought by third parties against ineed arising from your conduct, actions, or use of the platform.

This indemnification obligation will survive the termination of these Terms of Service and your use of the platform.

12. Dispute Resolution and Arbitration

YOU AND INEED LLC AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, THE PLATFORM, OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION RATHER THAN IN COURT, except that you may assert claims in small claims court if your claims qualify.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Any arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association.

This arbitration provision shall survive termination of these Terms of Service. If any part of this arbitration provision is found to be unenforceable, the remainder shall remain in full force and effect.

13. Limitation of Time to Bring Claims

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE INEED PLATFORM OR THESE TERMS OF SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED. This limitation period applies regardless of the nature of the claim, whether in contract, tort, or otherwise.

14. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, except as otherwise required by the arbitration provision herein.

15. Payment Processing, Refunds, and Tax Responsibilities

Payment Processing: All payments and refunds are processed through third-party payment processors, specifically Stripe, via Stripe's payment gateway. ineed LLC does NOT hold, store, or maintain any user funds or payments directly - all funds are held by Stripe. ineed LLC operates as a marketplace technology platform and is not a financial institution, money transmitter, or payment processor.

Refund and Cancellation Policy Administration: ineed LLC establishes and administers all refund and cancellation policies, including the 24-hour cancellation rule, partial refund terms (75% refund for cancellations less than 24 hours), and full refund policies. ineed LLC processes refunds through Stripe's payment gateway in accordance with these policies. While ineed LLC sets and enforces these refund terms, the actual funds are held by Stripe, not by ineed LLC.

Payment Processing Errors and Disputes: ineed LLC IS NOT RESPONSIBLE AND SHALL NOT BE LIABLE FOR ANY PAYMENT PROCESSING FAILURES, DELAYS, ERRORS, FRAUD, OR TECHNICAL ISSUES RELATED TO STRIPE'S PAYMENT GATEWAY OR FINANCIAL INSTITUTIONS. While ineed LLC processes refunds through Stripe in accordance with its refund policies, ineed LLC is not responsible for delays in refund processing caused by Stripe, your financial institution, or any technical failures in the payment processing system. You agree that ineed LLC has fulfilled its obligations when it initiates a refund through Stripe, regardless of when the refund appears in your account. YOU WAIVE AND RELEASE INEED LLC FROM ANY CLAIMS RELATED TO PAYMENT PROCESSING TECHNICAL FAILURES OR DELAYS BY STRIPE OR FINANCIAL INSTITUTIONS.

Refund Policy: Refunds are processed according to the following terms:

• Full Refund: If a booking is canceled by the requester with 24 hours or more notice before the scheduled service time, the requester will receive a full refund of the total payment amount, including all fees.
• Partial Refund: If a booking is canceled by the requester with less than 24 hours notice before the scheduled service time, the requester will receive a partial refund (75% of the total payment amount). The platform retains 25% as a cancellation fee.
• Provider Canceled: If a booking is canceled by the service provider at any time, the requester will receive a full refund of the total payment amount.
• Declined or Expired: If a booking request is declined by the provider or expires without acceptance, the requester will receive a full refund.

Refund Processing: Refunds will be processed to your original payment method within 5-10 business days after cancellation. The actual refund processing time may vary based on your financial institution and payment processor policies. ineed LLC is not responsible for delays in refund processing by payment processors or financial institutions.

Tax Responsibilities: You are solely responsible for determining and paying any applicable taxes (including but not limited to income tax, sales tax, value-added tax, or any other tax obligations) related to your use of the ineed platform, whether as a service provider or service requester. ineed LLC is not responsible for calculating, withholding, collecting, or remitting any taxes on your behalf. You agree to comply with all applicable tax laws and regulations in your jurisdiction. Service providers are responsible for reporting their earnings and paying taxes on income received through the platform. Service requesters are responsible for any sales tax or use tax obligations that may apply to their transactions.

Platform Fees: ineed LLC may charge platform fees, service fees, processing fees, or other fees as disclosed at the time of booking. These fees are non-refundable except as explicitly stated in the refund policy above. All fees are subject to change at ineed LLC's discretion, with notice provided through the platform.

Service Provider Payments: Service providers receive payment for completed services after service delivery and completion. Payment timing and processing are subject to payment processor policies and may be delayed due to verification requirements, dispute resolution, or other factors. ineed LLC is not responsible for delays in provider payments by payment processors.

Disputes and Chargebacks: ineed LLC handles dispute resolution and issues refunds through Stripe's payment gateway in accordance with ineed LLC's refund and cancellation policies. You agree not to initiate chargebacks or payment disputes through your financial institution for transactions processed through the ineed platform except in cases of fraud or unauthorized transactions. If you have an issue with a service, cancellation, or refund, you must contact ineed support first. ineed LLC will process appropriate refunds through Stripe based on ineed LLC's refund policies. Chargebacks or disputes initiated through your financial institution without first contacting ineed support may result in account suspension or termination. While ineed LLC processes refunds and handles disputes through Stripe, ineed LLC is not responsible for chargeback fees, dispute fees, or costs imposed by Stripe or financial institutions, as these are between you and your financial institution.

16. Identity Verification

Identity Verification Services: Identity verification on the ineed platform is conducted through third-party verification services, specifically Stripe Identity. ineed LLC does not perform identity verification directly and does not store or maintain complete identity verification data.

Verification Process: When you submit identification documents for verification (such as driver's license, government ID, or passport), these documents are processed by Stripe Identity in accordance with their terms of service and privacy policy. ineed LLC receives only verification status information (verified, pending, or rejected) and does not have access to your actual identification documents or sensitive personal information submitted during verification.

Verification Disclaimer: While identity verification helps enhance platform safety, ineed LLC does not guarantee the identity, background, character, or suitability of any user, regardless of verification status. Verification is a tool to help users make informed decisions, but it does not create any liability or responsibility for ineed LLC regarding user conduct, safety, or service quality. VERIFIED STATUS DOES NOT CREATE ANY WARRANTY OR GUARANTEE OF USER BEHAVIOR OR SAFETY.

ineed LLC IS NOT RESPONSIBLE AND SHALL NOT BE LIABLE FOR ANY ISSUES, ERRORS, DELAYS, OR PROBLEMS WITH THE IDENTITY VERIFICATION PROCESS CONDUCTED BY STRIPE IDENTITY. You agree to resolve any verification issues directly with Stripe Identity. YOU WAIVE AND RELEASE INEED LLC FROM ANY AND ALL CLAIMS ARISING FROM OR RELATED TO IDENTITY VERIFICATION, INCLUDING BUT NOT LIMITED TO VERIFICATION FAILURES, DELAYS, ERRORS, OR ANY ISSUES WITH STRIPE IDENTITY'S SERVICES.

17. User Eligibility and Account Requirements

Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the ineed platform. By using the platform, you represent and warrant that you meet this age requirement.

Account Termination: ineed LLC reserves the right, at its sole discretion, to suspend, restrict, or terminate your account and access to the platform at any time, with or without notice, for any reason or no reason, including but not limited to violations of these Terms, fraudulent activity, payment disputes, chargebacks, or any conduct that ineed LLC deems harmful to the platform or other users.

Prohibited Uses: You agree not to use the ineed platform for any unlawful purpose or in any way that could damage, disable, or impair the platform. Prohibited activities include but are not limited to: fraud, money laundering, illegal activities, harassment, discrimination, providing false information, attempting to circumvent platform policies, or using the platform in violation of any applicable laws or regulations.

18. Modifications to Terms and Platform

ineed LLC reserves the right to modify, suspend, or discontinue any aspect of the platform, including features, pricing, fees, and these Terms of Service, at any time without notice or liability. Your continued use of the platform after any modifications constitutes acceptance of the modified Terms. If you do not agree to any modifications, you must stop using the platform and terminate your account.

19. Force Majeure

ineed LLC shall not be liable for any failure or delay in performance under these Terms of Service that is due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, public health emergencies, network or internet failures, server failures, data center failures, cyberattacks, strikes, shortages of supplies, breakdowns of equipment, government regulations, payment processor failures, or any other event beyond ineed LLC's reasonable control. During such events, ineed LLC may suspend, modify, or discontinue services without liability to you.

20. Severability and Entire Agreement

If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and ineed LLC regarding the use of the platform and supersede all prior or contemporaneous communications, proposals, and agreements between you and ineed.
